Section 1: Introduction, Definitions, Context and Cryptocurrency Services

NEITHER THE FINANCIAL OMBUDSMAN SERVICE NOR THE FINANCIAL SERVICES COMPENSATION SCHEME (FSCS) APPLY TO THE SERVICES OFFERED BY ALTALIX LTD IN RELATION TO CRYPTOCURRENCIES.

1.1. The Terms of Service (the “Terms”) constitute a framework agreement between you (the “User”, “You” or “Your”) and Altalix Ltd (“Altalix”). This company is incorporated in England and Wales with company number 10408510. Altalix’s registered office is at Rise London, 41 Luke Street, Shoreditch, London, England, EC2A 4DP.

1.2. The following Terms set out the basis on which Altalix will provide You with the ability to purchase and sell certain cryptocurrencies (namely Bitcoin, Ethereum and Litecoin currently). Before You can engage in such activity You are required to read and accept these Cryptocurrency Terms and the various associated risk warnings contained herein. By proceeding to use the Altalix Services, You accept and acknowledge the associated risks in dealing with cryptocurrencies and Your agreement with these Cryptocurrency Terms.

  1. You understand that The Financial Ombudsman Service does NOT cover the cryptocurrency activities carried out by Altalix Ltd.

  2. You acknowledge that the Cryptocurrency Services provided in relation to these Cryptocurrency Terms are presently unregulated in the UK, and in some Territories, are illegal.

  3. By using Altalix’s Cryptocurrency Services, You agree to be bound by and acknowledge and understand these Cryptocurrency Terms and the risks stated herein.

  4. If you do not accept these Cryptocurrency Terms you are not permitted to use our Cryptocurrency Services and must cease doing so immediately.

1.3. Risks associated to Cryptocurrency that You accept:

  1. Altalix is NOT a custodian of cryptocurrencies so when a cryptocurrency is sent to an external address, its safekeeping becomes Your responsibility. In the instance, where it is sent to a Third-Party Provider, Altalix accepts no responsibility for the performance of any such parties (see 5.2).

  2. Once You instruct a purchase of a cryptocurrency (see 9.1.3), the cryptocurrency is sent directly, by Altalix, to the recipient wallet or wallet provided and/or managed by a Third-Party Provider. Additionally, when selling a cryptocurrency (see 9.1.4), Altalix will provide you with a public key to which to send Your cryptocurrency in order to complete the transaction. You understand that most blockchain transactions are settled by a decentralised network. Consequently, reversing transactions is in most instances impossible, this gives rise to an increase in fraud risk and an increase in operational risk. You accept this risk and commit to mitigating it by carefully checking crypto addresses.

  3. The trading of cryptocurrencies involves significant risk. Prices can and do fluctuate considerably on any given day. Due to such price fluctuations, you may increase or lose value in your cryptocurrency at any given moment. Any such asset may be subject to large movements in value and may even become worthless. There is an inherent risk that losses will occur as a result of buying, selling or exchanging any cryptocurrency.

  4. Cryptocurrencies also carry special risks not generally shared with official currencies or goods or commodities in a market. Unlike most currencies, which are backed by governments or other legal entities, or by commodities such as gold or silver, cryptocurrencies are unique, backed by technology and trust. There is no central bank that can take corrective measure to protect the value of cryptocurrency in a crisis, or issue more cryptocurrency.

  5. The price or value of cryptocurrencies can rapidly increase or decrease at any time and may even fall to zero. The risk of loss in trading or holding cryptocurrency can be substantial and can result in the loss of Your entire exposure/investment.

  6. There may be additional risks that we have not foreseen or identified in these Cryptocurrency Terms or our other risk warnings.

  7. You must cautiously assess whether your financial situation and tolerance for risk is appropriate for any form of exposure to cryptocurrencies, including price volatility and scams.

  8. Our banking partners do not transfer cryptocurrencies, exchange cryptocurrencies, or provide any services in connection with cryptocurrencies.

  9. The compliance of certain exchange tokens (currently Bitcoin, Litecoin and Ethereum) with Altalix’s suitability criteria does NOT constitute an endorsement by Altalix of those cryptoassets.

1.4. You agree that Altalix will run forensic pre-transaction as well as retrospective Hash and public key checks on Your payer and payee addresses, for the purposes of Anti-Money Laundering and illegal activity monitoring.

1.5. It is Altalix’s policy to prohibit and actively prevent money laundering: any of its auxiliary activities; terrorist financing; and/or crime. Altalix is subject to regulation designed to combat money laundering and terrorist financing as set out in all applicable legislation.

1.6. Altalix policy accounts for a wide range of anti-money laundering legislation and guidance, including but not limited to: the Financial Action Task Force (“FATF”) regulations and guidelines; JMLSG Guidance Notes; the UK’s Money Laundering, Terrorist Financing and Transfer of Funds Regulations 2017, the Money Laundering Regulations 2007; the Proceeds of Crime Act 2002 (as amended by the Crime and Courts Act 2013 and the Serious Crime Act 2015); the Terrorism Act 2000 (as amended by the Anti-Terrorism, Crime and Security Act 2001, the Terrorism Act 2006 and the Terrorism Act 2000 and Proceeds of Crime Act 2002 (Amendment) Regulations 2007.

1.7. Altalix strictly and rigidly implements a comprehensive and thorough KYC and AML compliance framework. This includes monitoring of suspicious transactions and obligatory reporting to local regulators, compliance bodies and law enforcement.

1.8. Altalix reserves the right to refuse registration to persons from jurisdictions that do not meet international AML standards and/or Know Your Customer (“KYC”) policies.

1.9. Altalix AML and KYC policies are as follows:

  1. Transactions executed on the Altalix platform will be subject to AML transaction monitoring;

  2. Identity and proof of address documents, transaction records and other relevant documentation will be maintained for at least five years and will be submitted to regulators as required without prior notification to registered users; and

  3. Altalix may at any time without liability and without disclosing any reason, suspend Services to You.

1.10. Altalix reserves the right to carry out Altalix customer diligence verification of users and their transactions. Enhanced User reviews may be carried out periodically at our discretion as part of ongoing risk assessment. In addition, any attempt to abuse Altalix or its platform will result in immediate suspension of Services and reporting violations to the appropriate authorities.

1.11. You are ONLY permitted to receive or send cryptocurrency from or to Altalix from a cryptocurrency address of which You are the sole beneficiary and controller.

You acknowledge that where you fail to provide such information or to satisfy such facial recognition, Altalix may take such steps as it deems necessary to prevent your use of the Altalix Services. These Terms incorporate by this reference any Supplemental Terms as may be applicable to your use of Altalix Services from or in your Territory.

2.3. Altalix may confidentially verify the information You provide to us or which we obtain ourselves or through third-parties from secure databases. Some of the searches which we or a third-party may perform, such as a credit check, may leave a soft footprint on Your credit history. This will not affect your credit rating. By entering into these Terms, you confirm that you consent to us or a third party on our behalf carrying out such verifications.

2.4. Altalix is NOT providing You with an electronic money service (See Section 1). The funds that You send to Altalix are NOT safeguarded and NOT subject to the client money rules. If something were to happen to Altalix or Altalix’s banking partners or Third-party providers, You could lose Your money. As such Your funds stand ready for You to purchase cryptocurrency on Altalix’s platform or instruct a refund if you decide not to proceed with such a purchase. Although You may maintain a positive balance for a period of time, You may NOT keep balances with Altalix indefinitely. Subject to the terms laid out in section 1, if Altalix at its discretion, deems that You do not intend to imminently purchase cryptocurrency, we will return such inactive balances to the account from which You sent the payment. The maximum time limit between transferring funds and executing a purchase or instructing a refund is 90 days and Your account may also be closed at any time within that maximum period, if a return is triggered. See clauses 3.3 and 8.1 for more detail. Payments exceeding Your trading limit (see 9.3) cannot be deemed to be intended for the imminent purchase of cryptocurrency so they will also promptly be returned in full. See clauses 3.3 and 8.1. Your money is stored in Altalix’s accounts, until Altalix has the reasonable expectation that you may perform a transaction. (See clause 5.4 below). Your balance may ONLY be used to purchase cryptocurrency and can only be withdrawn to the bank account in Your sole and own name, from where You have previously made a payment to Altalix. Funds cannot be transferred to third-party accounts or joint accounts.

2.5. Money that You pay to Altalix, observable in Your Dashboard whilst finalising your cryptocurrency purchase, differs from a Bank holding your money in that:

  2. Altalix cannot and will not finance any of its activities out of the capital received by way of these funds;

  3. The funds will not accrue interest;

  4. Incoming transfers will ONLY be accepted from bank accounts in Your own and sole name, Altalix will NOT accept incoming payments from third-parties or joint accounts and such payments will be promptly returned to the originating bank account;

  5. Funds/payment(s) can be used for the sole purpose of purchasing cryptocurrency on Altalix’s platform (see 3.3 and 8.1) or, if You change Your mind, You can ONLY instruct Altalix to return/refund funds/payment(s) (observable in Your Dashboard) to the bank account from which You made the payment(s), which must be in Your own and sole name;

  6. You cannot maintain indefinite or inactive balances with Altalix (see 3.3 and 8,1);

  7. Your funds are NOT covered by the Financial Services Compensation Scheme (FSCS); and

2.6. Altalix will only accept payments from a bank account or card, either of which must be held in Your own and sole name.

3.2. If at the time of closure, You have previously made a payment to Altalix but not executed and finalised Your cryptocurrency purchase, Altalix will refund any funds to the account from which they originated. In the event that the originating bank account is no longer in existence or cannot accept the funds for any other reason, Altalix will complete the refund when it has discharged all and any perceived regulatory and legal obligations, by taking action and making all enquires the firm, at its sole discretion, deems appropriate and proportionate. You commit to respond, in reasonable time, to all corresponding legal and reasonable requests Altalix may have, including providing and taking action to verify an alternative bank account to which Altalix will send the refund. This may include You complying with a request for a micro-payment. See section 7.5.

3.3. You are NOT permitted to leave inactive balances with Altalix. An inactive balance is one which Altalix determines to not be for the imminent purchase of cryptocurrency on the Altalix platform. If Altalix deems that a balance is inactive, we will return the funds to the originating or verified bank account and may close Your account with Altalix. (See section 8.1 for more detail).

3.4. You are not permitted to close your account during an investigation. Any such attempt may lead to Altalix freezing the account.

3.5. You remain liable for any obligations relating to Your Account even after closure.

Section 5: Third-Party Providers

5.1. In order to make a payment to Altalix, you will need to make a payment via a Stored Card or a Bank Transfer. Altalix is not responsible for the performance of such third-parties.

5.2. Altalix Service may be available through and/or linked to selected third party Exchanges, websites, Apps, wallets and other Third-Party services. Such Third-Party Services are independent from the Altalix Service. You hereby acknowledge that Altalix has no direct control or authority over such Third-Party Services, and consequently acknowledge and agree that Altalix is not responsible for the availability and performance of Third-Party Services. Altalix does not endorse and is not responsible or liable for any goods, services, content, advertisements, products, or any materials available on and/or through such Third-Party Services.

5.4. If Altalix has the reasonable expectation, that You will imminently execute and finalise a transaction that may be facilitated by pre-funding accounts at Third-Party Providers, Altalix may temporarily transfer Your funds to the Third-Party in reasonable anticipation of such transactions being finalised. This applies to cryptocurrency purchases where You have made payment but not yet finalised the purchase. The payment proceeds or funds may be temporarily moved to an Exchange to stand ready and facilitate the seamless completion of Your cryptocurrency purchase. See sections 2.4 and 8.1. Also, see Section 1 for more on Cryptocurrency and corresponding risks.

Section 6: Altalix Transactions

6.1. Altalix may refuse to enter into an Altalix Transaction with you at any time and for any reason.

6.2. Altalix provides virtual receipts for successful Altalix Transactions, which are accessible on the Altalix Dashboard.

6.3. Altalix will not and is under no obligation to provide you with a physical receipt or other written confirmation in connection with any Altalix Transaction.

6.4. Altalix is not a custodian of cryptocurrencies. If more thorough KYC or AML checks are deemed necessarily with respect to Altalix protocols, Your transaction’s execution and settlement may be delayed. During this period of delay, You will be exposed to and incur any move in prices.

Section 7: Identity, other Verification and Your Data

Altalix maintains and handles your data in accordance with the General Data Protection Regulation (GDPR). See our Privacy statement for more detail.

7.1. You agree to cooperate with all requests made by Altalix or any of Altalix’s third party service providers on our behalf in connection with your Altalix Services, to identify or authenticate Your identity or to evidence and validate Your funding sources or Altalix Transactions. This includes, but is not limited to, requesting further information from You that will allow Altalix to reasonably identify You. This may include requests for proofs of address and updated ID documents; requiring You to take steps to confirm ownership of Your phone number or payment instruments or verifying Your Information and/or details against third party databases or through other sources. This may also extend to additional requests for proof of source of funds and source of wealth.

7.2. Altalix reserves the right to close, suspend, or limit access to Your Altalix account and/or the Altalix Services in the event we are unable to obtain, verify such Information or You fail to comply with our requests under 7.1 of these Terms.

7.3. Altalix may confidentially verify the information You provide or obtain information on you ourselves or through third parties from secure databases.

7.4. You must ensure that all information on your Altalix Account is always accurate and up to date. If at any time we believe that Your information is outdated or inaccurate, we may contact You and request further information or request that You repeat the verification process. Your Altalix Transaction Limit will be adjusted accordingly while we verify Your identify. Altalix shall not be liable for any losses arising out of Your failure to maintain up to date information.

7.5. Where Altalix has not previously verified Your bank account by receiving a bank payment from You for the purposes of a “Fund Account” operation (see 9.1.1), Altalix will, via support@altalix.com, request a micro-payment from You in order to verify Your bank account before making any payment to You. This micro-payment will be promptly returned to You along with the fiat proceeds arising from Your “Sell Crypto” operation (see 9.1.4). If You do not comply with a request for micropayment within a reasonable time frame or Altalix is unable to verify Your bank account from the micro-payment, Altalix will unwind Your entire cryptocurrency sale and return to Your originating crypto address the lower of the cryptocurrency amount You sent to Altalix (for the purposes of the sale) and the amount of cryptocurrency Your resultant fiat proceeds can be exchanged for at the market level at the time of the unwind, less Altalix’s administrative fee. All associated risks, including and not limited to those arising from the market and third-party providers, Your access to or ability to recover the returned cryptocurrency, belong to You in the instance that Altalix takes such action.

Section 8: Managing Your Altalix Account

8.1. All FIAT balances in Your Dashboard, regardless of whether they arise from a “funding” payment (see 9.1.1) or the sale of cryptocurrency (where proceeds may remain briefly and temporarily while Your receiving bank account is being verified as per section 7.5), are subject to section 2.4 above and are considered an advance under a contract for the sale of cryptocurrency to You. As such, Altalix regards Your placement of these funds with Altalix as standing ready to trade, and merely for the seamless completion of the transactions. In the event that Your balance exceeds Your trading limits (see 9.3), the entire balance will be returned promptly to the account the payment was made from or the verified bank account associated with Your user profile. As per clauses 2.4 and 3.3, You are NOT permitted to leave inactive balances with Altalix. At its discretion, Altalix will determine the period within which You must have executed a cryptocurrency purchase or instructed a refund. In the event that You have not executed a trade or instructed a refund within this period, which will never exceed 90 (ninety) days from the date of Your placement of funds, these funds will be returned to You at the bank account from which You made the originating payment and Your Altalix account may be closed. Where Altalix has not been able to verify Your bank account via a micro-payment, as described in section 7.5, Altalix will relieve itself of any fiat balance due to You by undertaking the unwind process as described in the same section. If this action is taken, Your account may be closed. In order to re-open an account, following closure, You will be required to re-apply and permission will be granted at Altalix’s discretion.

NOTE THAT the maximum 90 day period mentioned above has NO relevance on the time taken to verify Your bank account. Altalix reserves the right to determine on a case by case basis what constitutes a reasonable length of time within which to verify Your bank account and act accordingly with sole discretion.

See 5.1 for details and cautions regarding making such payments.

8.2. You will only be permitted to send Altalix money from a User Bank Account or Stored Card in Your own and sole name, matching the details of Your Altalix profile. Altalix will NOT accept payments from joint accounts or third-parties.

8.3. You can, at any time, cancel the bank mandate required to perform a User Bank Transfer within the Altalix Dashboard and withdraw Your Stored Card authorisation, by contacting us at support@altalix.com or writing to your bank or building society. If you cancel or withdraw your authorisation under this Clause 8.4, Altalix reserves the right to recover any outstanding or pending funds, pursuant to Clause 12.1.

8.4. Upon Altalix’s receipt of the funds sent via User Bank Transfer (either performed within or outside of the Altalix Dashboard), Altalix will allocate the corresponding sum to Your Altalix Dashboard. The details of the bank account, belonging to Altalix, to send the money to will be set out on the Altalix Dashboard. It is Your responsibility to enter the correct bank account details when performing the User Bank Transfer and ensure that the money reaches us. If Altalix receives Your money in a currency other than the one You indicated to us when we provided You with the bank account details, then Altalix will not be liable for any losses that You may incur if our bank performs a currency conversion to change the money received into the currency of our bank account to which the money was sent.

8.5. In order to make a payment to Altalix via a Stored Card, You will need to add the details of the Stored Card onto your Altalix Dashboard. You may only add details of Your Stored Cards to your Altalix Dashboard if you are the named and sole holder of Stored Card.

Section 9: Altalix Transactions and Limits

9.1. Altalix Dashboard Transactions include but may not be limited to the following:

  1. “Fund Account” is the Dashboard option of placement of funds by way of advance payment for the cryptocurrency and can only be done from a bank account or Stored Card in Your Own and Sole name;

  2. “Withdraw Funds” – is the Dashboard option meaning Altalix refunding funds as You choose not to complete Your cryptocurrency purchase, and results in Altalix transferring/refunding the relevant sum back to Your own verified Bank Account;

  3. “Buy Crypto” – this is a purchase of cryptocurrency via the execution platform accessed through the Altalix Dashboard. Altalix is NOT a custodian of cryptocurrency and will deliver the purchased cryptocurrency to the public key You have submitted (please see 1.3.2) or that is provided by a the Third Party Provider from whose platform You chose to access Your Altalix account (please see 5.2 and 5.3). Altalix will only interact with public keys that Altalix has approved. This Altalix Service is accessible via Your Dashboard balance debit or card payment, from a card in Your own and sole name. Please ensure that You have read and understood Section 1 on Cryptocurrency Services before using any corresponding service; and

  4. “Sell Crypto” – this is a sale of cryptocurrency via the execution platform accessed through the Altalix Dashboard. Owing to the time taken to settle “on-chain” transactions, the price displayed to You is an INDICATIVE price ONLY. The transaction price and corresponding actual fiat proceeds generated will be determined at the time when Altalix executes this trade on Your behalf: once the cryptocurrency has settled at the address provided to You by Altalix for the purposes of this sale and Altalix has determined to proceed with the transaction based on the firm’s checks. (See section 1.4). By sending crypto to the crypto address provided, You confirm Your irrevocable intention to execute this trade, whose achieved level is subject to the timings arising from variable network settlement times and Altalix’s own variable check timings, at the market level at this time and therefore, accept the risk that the achieved trading level may be lower than that indicated to You. Equally, however, Altalix will pass onto You any favourable change in price. If You send a cryptocurrency amount smaller than the size for which You requested the quote, Altalix will execute the transaction in line with the above and proportionally adjust the trade size and fiat proceeds generated. However, if You send a cryptocurrency amount exceeding the size for which you requested a quote, in the instance in which executing this transaction based on the indicative quote You received, would breach Your (aggregate periodic) Transaction limits, (see 8.1 and 9.3), Altalix will return the entire crypto amount to the address from which it arrived, less an administration fee. If there was No prospective Limit breach when you executed the transaction, Altalix will execute the transaction in line with the above and proportionally adjust the trade size and fiat proceeds generated. Subsequently, all fiat proceeds will be sent to Your bank account from where You previously made Altalix a payment or Your verified bank account. See section 7.5 for how Altalix will handle fiat balances for which it has not been able to verify the user’s bank account and how this verification can be completed by the user making a micro-payment.

9.2. Altalix may refuse to enter into or conclude an Altalix Transaction with You at any time and for any reason. In such instances, You will incur any fees necessary to reverse any part of or the entire transaction as well as an administration applied by Altalix. This may result in You receiving less proceeds than You sent. In the instance, where Altalix refuses to conclude a “Sell Crypto” (see 9.1.4) transaction with You for reasons including but not limited to those covered in sections 1.4, 1.5, 1.6, 7.5 and 9.1.4 and takes the action to return cryptocurrency to the originating payer crypto address/public key, You take all risks attached to Your access to and Your ability to recover the returned cryptocurrency.

9.3. Altalix Transaction Limits:

  1. Altalix reserves the right to impose with sole discretion Altalix Transaction Limits, for example monthly trading limits, based on criteria determined by Altalix and under no obligation to disclose.

  2. You may be able to view some of these Altalix Transaction Limits by logging onto the Altalix Dashboard. Altalix may, from time to time, provide you with procedures or methods to remove or increase such limits. We reserve the right to remove Altalix Transaction Limits from the Altalix Dashboard.

Section 10: Legitimate Use of the Altalix Services

10.1. Altalix does NOT permit You:

10.2. You must ensure that you enter into NO Altalix Transactions relating to the sale or supply of goods and services in breach of compliance with all applicable laws and regulations. The fact that a person or entity accepts payments via an Altalix Transaction is not an indication of the legality of the supply or provision of the goods and services.

10.3. Altalix reserves the right to refuse to perform an Altalix Transaction directly or indirectly associated with any Restricted Country.

10.4. If Altalix, at its sole discretion, believes that you may have breached the provision of this Clause, we may take action to protect ourselves, other Users and third parties. The action we may take includes but is not limited to:

You shall have no similar right of set-off.

Section 13: Your Dashboard Balance

13.1.
